TERMS & CONDITIONS – IDAHO PRO GEAR, LLC (DBA IDAHOKARAOKE)
By placing an order, scheduling a rental, paying any amount, or taking possession of equipment, you (“Customer”) agree to these Terms & Conditions (“Agreement”). If you are booking on behalf of an organization, you confirm you have authority to bind that organization.

1. Definitions

  • “Company”: Idaho Pro Gear, LLC / IdahoKaraoke.
  • “Equipment”: All rental items including karaoke systems, speakers, microphones, mixers, stands, cables, lighting, accessories, cases, and any replacement parts.
  • “Rental Period”: The pickup/delivery time through the return/end time listed on your order confirmation.
  • “Venue”: The location where equipment is used/stored during the Rental Period.

2. Reservation, Payment, and Authorization

  • Your booking is not guaranteed until confirmed by Company and required payments/deposits are completed.
  • Customer authorizes Company to charge the payment method on file for: rental fees, taxes (if applicable), delivery/setup fees, late fees, missing/damaged items, cleaning fees, repair/replacement costs, and any unpaid balances per this Agreement.
  • Company may require a valid government ID and matching payment method at pickup/delivery.

3. Equipment Use, Care, and Prohibited Uses

Customer agrees to:

  • Use Equipment only for its intended purpose and according to Company instructions.
  • Keep Equipment dry, clean, and secure at all times.
  • Keep liquids away from microphones, mixers, receivers, speakers, laptops/tablets, and power strips.
  • Operate Equipment in a smoke-free environment when possible and prevent exposure to vaping/fog/haze (these residues can damage electronics).
  • Ensure Equipment is used on stable surfaces and protected from falls, tip-overs, and impact.
  • Use appropriate power (avoid overloaded circuits) and not use damaged extension cords.
  • Keep Equipment away from pools/hot tubs, sprinklers, rain, and extreme heat/cold unless specifically approved in writing by Company.

Prohibited without written permission:

  • Use of Equipment outdoors in any precipitation or heavy wind.
  • Subleasing, lending, or transferring possession of Equipment to another party.
  • Opening, modifying, repairing, relabeling, or removing serial numbers from Equipment.
  • Using Equipment for illegal activity or unsafe conditions.

4. Setup, Testing, and Customer Responsibility

  • Customer is responsible for verifying the venue has adequate space, power, and any required approvals.
  • If Company provides delivery/setup, Customer must provide safe access (parking/loading proximity, stairs disclosure, gate codes, etc.). Additional labor/wait time may be charged if access is delayed or conditions differ from what was stated.
  • Customer must test Equipment upon receipt. Any missing items, non-function, or setup issues must be reported immediately (and before the event begins) so Company has an opportunity to troubleshoot or replace.

5. Song Content and Licensing

Karaoke content availability varies by system and service. Unless otherwise agreed in writing, Customer is responsible for providing adequate and reliability wireless internet connection (WiFi) for song library to operate. Customer is responsible for ensuring any public performance licensing required by the venue/event type is obtained (especially for public, ticketed, or commercial events). Company does not guarantee availability of any specific song, version, or key unless stated in writing.

Customer acknowledges that karaoke tracks provided with the rented equipment are licensed karaoke recordings intended for live performance. These recordings may consist of re-recorded instrumentals and/or vocals and do not include original artist or movie soundtrack vocal performances.

Certain songs may include guide vocals or backing vocals performed by studio singers to assist with timing and melody. Variations in vocal sound, tone, or performance from original commercial recordings are normal and do not constitute a defect or equipment malfunction.

Provider makes no guarantee that karaoke tracks will be identical to original studio or motion picture recordings. Customer accepts the karaoke content as-is for entertainment purposes.

6. Cancellation, Rescheduling, and Weather

  • Cancellation/reschedule policies may vary by package and event date. Unless otherwise stated on your invoice/confirmation:
    • Customer-initiated cancellations may forfeit some or all payments depending on how close to the event date the cancellation occurs and whether equipment has been reserved/turned away from other bookings. Cancellations must occur prior to 72 hours of the scheduled Rental Period to receive any refunds. For cancellations before the 72 hour window a 20% fee will be charged. Cancellations after this period will not receive any refund except the Security Deposit (if applicable).
    • Reschedules are subject to availability.
  • Weather: Outdoor events are higher risk. Company may delay, refuse, or stop service if weather threatens equipment or safety. If Customer chooses to proceed outdoors, Customer assumes risk of moisture/wind damage.

7. Late Returns, Early Pickup, and Extension Requests

  • Equipment must be returned by the scheduled return time. Late returns may incur additional daily rental charges, late fees, and/or collection costs.
  • Extensions must be approved before the return/end time and are subject to availability.
  • Company may charge for additional time if pickup is delayed due to Customer unavailability or venue restrictions. Additional time charges extend the Rental Period and are billed at the hourly rate of the initial booking’s base-rate excluding any discounts for the total amount of Equipment rented. If delays of end time for Company pickup cause the Rental Period to extend very late into any night, Company reserves the right to pick up Equipment at a reasonable hour during the following day.

8. Damage, Loss, Theft, and Cleaning Fees

Customer is fully responsible for Equipment from the time it is delivered/picked up until it is returned to (or picked up) and checked in by Company. This includes theft, mysterious disappearance, accidental damage, water damage, drops, punctures, burns, electrical surge damage, and misuse.

Common chargeable items include (not limited to):

  • Missing microphones, receivers, power supplies, cables, adapters, remotes.
  • Broken mic grilles, dented speaker cabinets, torn grills, snapped stands.
  • Liquid intrusion, sticky residue, smoke residue, excessive dirt/sand/pet hair.
  • Damaged cases, missing wheels/handles, or damaged connectors.

If any Equipment is returned excessively dirty or requires special cleaning/decontamination, a cleaning fee will apply.

9. Security Deposit / Damage Waiver (if applicable)

If a security deposit is required, it is not a limitation of liability. It may be applied toward any amounts owed under this Agreement (damage, loss, late fees, cleaning, etc.). If costs exceed the deposit, Customer remains responsible for the full balance and Company may charge the card on file for the full amount.

Company does not offer any damage waiver. Customer is fully responsible for Equipment during the Rental Period.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Company is not liable for indirect, incidental, special, or consequential damages (including lost profits, loss of use, event cancellation costs, or reputational harm).
  • Company’s maximum liability, if any, will not exceed the total amount paid to Company by Customer for the rental giving rise to the claim.

11. Indemnification

Customer agrees to indemnify and hold harmless Company and its owners/employees/contractors from any claims, damages, injuries, fines, or legal expenses arising from Customer’s possession, use, or misuse of Equipment, including claims by venue guests or third parties.

12. Right to Refuse Service / Termination

Company may refuse service or terminate the rental (with retrieval of equipment) if conditions are unsafe, if misuse is suspected, if Customer is uncooperative, or if the venue environment endangers equipment. No refunds are owed for termination due to Customer breach.

13. Governing Law and Venue

This Agreement is governed by the laws of the State of Idaho. Any disputes will be handled in the appropriate courts located in Idaho, unless otherwise required by law.

14. Entire Agreement

These Terms, together with your invoice/confirmation, constitute the entire agreement. Any exceptions must be in writing and signed/approved by Company.
